Jesse is an international business attorney with more than 25 years of business and corporate experience and more than 10 years of experience working with private, venture-backed, and private-equity owned corporations as General Counsel. Jesse has extensive experience in mergers and acquisitions; corporate and data privacy compliance; product counsel; intellectual property; and contract negotiation, including executive employment agreements. Jesse also serves as an adjunct professor at San Joaquin College of Law teaching courses in Corporations/Business Organizations and Privacy and Data Protection Law.

Jason is a business attorney with extensive legal expertise and leadership experience having served as Chief Legal Officer at AGI Publishing, Inc. for the past 19 years. His impressive background includes a wide range of legal disciplines, including contract negotiation; corporate governance; employment law; real estate transactions; mergers and acquisition; advertising law; litigation; and intellectual property. Jason also carries with him an impressive academic background, having graduated from the University of Southern California Law School and UCLA and serving as an adjunct professor at San Joaquin College of Law teaching courses in Employment Law, Business Organizations, and Remedies.
Merger and Acquisitions
$2M asset buy, a $225M stock buyout, and $500M merger. VBTL has driven due diligence processes both on the target and acquirer side (separately and simultaneously) in collaboration with KPMG, PwC, Houlilhan Lokey and some of the largest law firms in the U.S.
Corporate and Data Privacy Compliance
VBTL has ensured domestic and international entity and employment and labor compliance in 7 countries (Australia, Brazil, Bulgaria, Denmark, Singapore, Shanghai, and the UK); and data privacy law compliance in North America (Canada, U.S., Mexico), South America, European Union, and Asia Pacific, and has overseen information and security compliance team, ISO 27001 certification process; managed GDPR readiness and CPRA compliance.
Product Counsel
Counsel to more than 10 different SaaS platforms, collaborating with engineering and development teams, and advising on privacy by design and default.
Sales and Contracts
Supported global sales teams on 5 continents. Negotiated reviewed, or approved more than 6,000 contracts and technology transactions, and serving as legal lead for contract negotiations with Fortune 10/100/500 companies.
